ASEAN Corporate Governance Scorecard

The ACGS, or ASEAN Corporate Governance Scorecard, is a corporate governance rating system designed to raise the corporate-governance standards of the members of the Association of Southeast Asian Nations (ASEAN). It is implemented to all publicly-listed companies across member-countries by the ASEAN Capital Markets Forum (ACMG), a body composed of the region’s capital market regulators. The Securities and Exchange Commission (SEC) is the official Philippine representative to the ACMF, and has appointed the Institute of Corporate Directors (ICD) as the domestic ranking body of the Philippines for the ACGS.

Audit Committee Corporate Governance Certificate of Confirmation
The Audit Committee Company submits on annual basis a certificate of corporate governance compliance to the First Pacific Company Limited based in Hong Kong. The confirmation statement covers review of material controls, including financial, operational, and compliance controls and risk management functions; the identification, evaluation, and management of all material risks related to enterprise risk management (ERM). This is signed by the chairman of the Audit Committee and the head of Internal Audit Department.

Philippine Stock Exchange Corporate Governance Guidelines Disclosure Survey
The Corporate Governance (CG) Guidelines of the Philippine Stock Exchange (PSE) are designed to complement the Code of Corporate Governance of the Securities and Exchange Commission (SEC). The CG Guidelines of the PSE define the concepts and best practices that characterize a well-governed listed corporation, and are designed to guide listed corporations on how to improve their corporate governance practices. The CG Guidelines Disclosure Survey (Survey) of the PSE is under a Comply or Explain regime wherein listed companies are required to affirm their compliance with the best practice recommendations under each guideline, or explain the reason for their non-compliance and/or state any chosen alternative action or variation. The accomplished Survey is signed by the Company’s independent director and the CEO and submitted to the PSE.
